| dc.description.abstract | يُقصد بالانحلال إنهاء الرابطة القانونية التي تجمع الشركاء في الشركة. وتتضمن هذه العملية مرحلتين رئيسيتين: تتعلق الأولى بالأسباب المؤدية إلى انحلال الشركات التجارية، بينما تتصل الثانية بآثار الانحلال، وتحديداً التصفية. وتُصنَّف هذه الأسباب إلى أسباب عامة، وأسباب قضائية، وأسباب خاصة. وتترتب على الانحلال مرحلة التصفية التي تهدف إلى تسوية الأوضاع القانونية والمالية للشركة؛ حيث يتولى هذه العملية مُصفٍّ يُعيَّن خصيصاً لهذا الغرض. وتحتفظ الشركة خلال هذه المرحلة بشخصيتها الاعتبارية تيسيراً للإجراءات، وبعد إتمام عملية التصفية، يتم توزيع الأصول المتبقية على الشركاء. وأخيراً، تنتهي هذه المرحلة بإغلاق التصفية، وشطب الشركة من السجل التجاري، وزوال شخصيتها الاعتبارية.Dissolution refers to the termination of the legal bond uniting the partners within a company. This process comprises two main stages: the first concerns the grounds leading to the dissolution of commercial companies, while the second relates to the consequences of dissolution—specifically, liquidation. These grounds are classified into general, judicial, and specific causes. Dissolution is followed by the liquidation stage, which aims to settle the company's legal and financial affairs; this process is carried out by a liquidator appointed specifically for that purpose. During this stage, the company retains its legal personality to facilitate proceedings, and upon completion of the liquidation, remaining assets are distributed among the partners. Finally, the process concludes with the closing of the liquidation, the removal of the company from the commercial register, and the cessation of its legal personality. | |
