Abstract
تهدف هذه الورقة البحثية إلى تسليط الضوء على أحد الفراغات القانونية في المادة المدنية (رغم التعديلات التي مست القانون المدني في سنتي 2005 و 2007)، والمتمثلة في عدم تنظيم المرحلة السابقة للتعاقد، علماً أن مرحلة المفاوضات العادية أو الالكترونية تشكل الأرضية الصلبة التي ترتكز عليها باقي المراحل الأخرى للعقد سواء ما تعلق منها بالإبرام أو التنفيذ. والإشكالية المطروحة في البحث تتعلق بالآثار القانونية للمرحلة السابقة على إبرام العقد الالكتروني سواء من حيث الالتزامات أو المسؤولية. وقد تم التوصل إلى نتيجة مفادها: هو أن النص على مبدأ حسن النية في مرحلة التفاوض على العقد العادي أو الالكتروني بشكل ضمني في المادة 107/1 قانون مدني لا يفي بالغرض المطلوب، إذ أن المسؤولية عن الفعل الضار تستوجب وجود التزام يفرضه القانون قد تم الإخلال به، ولذلك نطالب من المشرع المدني التدخل مرة أخرى بنص صراحة على الالتزام بالتفاوض بحسن نية وأمانة في المرحلة السابقة للتعاقد.
This research paper aims to shed light on one of the legal voids in the civil matter (despite the amendments that affected the Civil Code in the years 2005 and 2007), which is the lack of regulation of the pre-contract stage, noting that the stage of regular or electronic negotiations constitutes the solid ground upon which the rest of the negotiations are based. Other stages of the contract, whether related to conclusion or implementation. The problem raised in the research relates to the legal effects of the stage preceding the conclusion of the electronic contract, whether in terms of obligations or responsibility. A conclusion was reached that: stipulating the principle of good faith at the stage of negotiating a regular or electronic contract implicitly in Article 107/1 of the Civil Code does not meet the required purpose, as liability for a harmful act requires the existence of an obligation imposed by the law that has been violated. Therefore, we ask the civil legislator to intervene once again by explicitly stipulating the commitment to negotiate in good faith and honesty in the pre-contract stage.
