Abstract
تناولت هذه الدراسة في الأبعاد القانونية والجنائية للسجل التجاري في الجزائر، متتبعةً تطوره من الإطار التقليدي الراسخ إلى المنصة الإلكترونية الحديثة التي فرضتها الرقمنة. يبدأ البحث بتحليل طبيعة السجل التجاري التقليدي، وأهميته القانونية والاقتصادية، والمسؤوليات المرتبطة بالتسجيل، مع تسليط الضوء على الجرائم التقليدية مثل عدم التسجيل وتقديم بيانات كاذبة. كان التحول إلى السجل التجاري الإلكتروني مدفوعًا بأهداف تعزيز الكفاءة والشفافية وتبسيط إجراءات الأعمال. ومع ذلك، فقد أدخل هذا التحول الرقمي أنماطًا إجرامية جديدة ومعقدة غير مألوفة في البيئة التقليدية. تركز الدراسة بشكل أساسي على تحليل هذه الجرائم الناشئة، مثل التزوير الرقمي لشهادات التسجيل، واختراق قواعد البيانات، وسرقة الهوية التجارية الإلكترونية، والتلاعب بالبيانات المسجلة. ويخلص البحث إلى أن الإطار التشريعي الجزائري الحالي، على الرغم من جهود التحديث من خلال قوانين التجارة الإلكترونية والجرائم الإلكترونية، يُظهر فجوة كبيرة. إن القوانين التقليدية التي تحكم السجل التجاري غير مؤهلة لمعالجة الطبيعة غير الملموسة لهذه الجرائم الجديدة، في حين تفتقر قوانين الجرائم الإلكترونية العامة إلى التحديد اللازم لحماية وظيفة السجل التجاري الفريدة كأداة سيادية لتنظيم السوق. وبناءً على ذلك، توصي الدراسة بتدخل تشريعي مُستهدف لتجريم الجرائم ضد السجل التجاري الإلكتروني تحديدًا، وفرض عقوبات أشد وأكثر ردعًا، وتعزيز القدرات التقنية والقضائية في مجال الأدلة الجنائية الرقمية والأمن السيبراني. وهذا أمر ضروري لضمان حماية جنائية فعالة، والحفاظ على الثقة في البيئة الاقتصادية الرقمية، ودعم مناخ الأعمال في الجزائر.This study examines the legal and criminal dimensions of the commercial register in Algeria, tracing its evolution from the established traditional framework to the modern electronic platform imposed by digitalization. The study begins by analyzing the nature of the traditional commercial register, its legal and economic significance, and the responsibilities associated with registration, highlighting traditional crimes such as failure to register and providing false information. The shift to the electronic commercial register was driven by the goals of enhancing efficiency, transparency, and simplifying business procedures. However, this digital transformation has introduced new and complex criminal patterns unfamiliar to the traditional environment. The study focuses primarily on analyzing these emerging crimes, such as digital forgery of registration certificates, database hacking, electronic business identity theft, and tampering with registered data. The study concludes that the current Algerian legislative framework, despite modernization efforts through e-commerce and cybercrime laws, exhibits significant gaps. Traditional laws governing the commercial register are ill-equipped to address the intangible nature of these new crimes, while general cybercrime laws lack the necessary specificity to protect the commercial register's unique function as a sovereign tool for regulating the market. Accordingly, the study recommends targeted legislative intervention to criminalize crimes against the electronic commercial registry in particular, impose harsher and more deterrent penalties, and enhance technical and judicial capabilities in the field of digital forensics and cybersecurity. This is essential to ensure effective criminal protection, maintain confidence in the digital economic environment, and support the business climate in Algeria.
